Terms of Service

Please read these Terms of Service ("Terms") carefully before using Upfound AI. By accessing or using any part of the platform, you agree to be bound by these Terms, which govern your use of Upfound AI services, technology, and content.

1. Services Offered

Upfound AI provides AI-powered hiring tools including resume analysis, automated phone and video interviews, coding assessments, candidate scoring, cheat detection, and integrations with third-party platforms. These services are designed to help organizations streamline and improve their recruitment processes.

2. Account Eligibility

You may use Upfound AI only if you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

3. Platform Access & License

Upfound AI grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the platform solely for internal hiring purposes. You agree not to:

• Copy, modify, decompile, reverse-engineer, or attempt to extract source code;
• Use automated tools (e.g., bots or scrapers) to access or disrupt the platform;
• Interfere with platform functionality or security.

4. User Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify Upfound AI immediately of any unauthorized access or security breach.

5. Resume & Candidate Data

By uploading candidate resumes or data, you represent that you have the necessary rights and consent to do so. You retain ownership of candidate data. Upfound AI processes and stores this data solely for delivering platform features, under a limited license, and in accordance with applicable data protection laws.

6. Pricing & Payments

Upfound AI offers flexible pricing models tailored to different company sizes and usage needs. Payment terms will be outlined at the time of agreement. All fees exclude taxes and are subject to applicable laws. Late payments may result in service suspension or additional charges.

7. Subscription & Cancellation

Your subscription will remain active until canceled. You may cancel by providing written notice in accordance with your plan. Upfound AI may also terminate services in cases of breach or legal requirements. Refunds are issued only as per your contract's refund policy.

8. Interview Content & Usage

All interviews, transcripts, scores, and reports generated via Upfound AI are for internal use only. You may share them within your hiring teams but may not distribute them externally without prior written consent from Upfound AI.

9. AI Evaluation & Fairness

Upfound AI provides unbiased candidate evaluations through AI-driven resume analysis, structured interviews, and scoring models. However, final hiring decisions remain solely your responsibility.

10. Cheat Detection & Trust Scoring

Upfound AI uses AI-based monitoring and behavioral analysis to detect anomalies, potential cheating, or misuse during interviews. Candidate reports may include a trust score to help evaluate the integrity of responses.

11. Limitation of Liability

To the maximum extent permitted by law, Upfound AI shall not be liable for any indirect, incidental, or consequential damages. Upfound AI's total liability for any claims shall not exceed the amount paid by you in the 12 months preceding the claim.

12. Warranties Disclaimer

The platform and its features are provided "as is" without warranties of any kind. Upfound AI does not guarantee uninterrupted access, error-free performance, or hiring outcomes.

13. Indemnification

You agree to indemnify and hold harmless Upfound AI, its affiliates, and its personnel from any claims, losses, damages, or expenses arising from your violation of these Terms or misuse of the platform.

14. Termination of Access

Upfound AI reserves the right to suspend or terminate your access if you violate these Terms, misuse the service, or if required by law. You may also terminate the agreement with written notice per your plan terms.

15. Changes to Terms

Upfound AI may modify these Terms at any time. Notice will be provided via email or platform alerts. Continued use after such updates constitutes acceptance of the revised Terms.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be resolved under the exclusive jurisdiction of the courts of Porvorim, Goa.

17. Confidentiality

Both you and Upfound AI agree to maintain the confidentiality of all proprietary, business, and candidate-related information shared during the term of service. This obligation survives the termination of the agreement, unless disclosure is required by law.

18. Third-Party Services

Upfound AI may integrate with third-party services such as ATS or communication tools. Upfound AI is not responsible for the availability, data handling, or performance of these external services. Use of such services is at your own risk and subject to their terms.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Upfound AI. Any unauthorized transfer shall be null and void.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remainder shall remain in full force and effect.

21. Force Majeure

Upfound AI shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, labor disputes, system failures, or regulatory restrictions.
